Scope

These Terms of Service (the "Terms") govern the use of the website operated by HAPT Lab, LLC ("we", "us" or "the Company") and the products and services we provide (together, the "Services").

By using the Services you are deemed to have agreed to these Terms. Where separate terms or conditions apply to a particular service, those terms take precedence over these Terms.

Definitions

User
Any individual or entity that uses the Services having agreed to these Terms.
Content
All text, images, video, audio, software, data and other information made available through the Services.
User Content
Information a User transmits, posts or otherwise provides through the Services.
Intellectual Property Rights
Copyright, patent rights, utility model rights, design rights, trademark rights and other rights in intellectual property, including the right to acquire or apply to register them.

Provision of the Services

We may change, add to or discontinue the content and specifications of the Services without prior notice. Where a change would materially affect Users, we will endeavour to give advance notice by reasonable means.

We may suspend all or part of the Services without prior notice in any of the following cases.

  • Maintenance, inspection or updating of systems
  • Earthquake, fire, power failure or other force majeure making provision impracticable
  • Failure of telecommunications lines, power supply or other external services
  • Any other case where we reasonably determine suspension to be necessary

User Responsibilities

Users use the Services at their own responsibility, and are responsible for arranging, at their own cost, the devices, software and network connections required to do so.

Users warrant that information they provide to us is accurate and current. We are not responsible for disadvantages arising from inaccurate information.

Prohibited Conduct

Users must not engage in any of the following when using the Services.

  • Violating any law or public order and morals
  • Conduct related to, or that facilitates, criminal activity
  • Infringing the intellectual property, likeness, privacy, reputation or other rights or interests of us or any third party
  • Placing an excessive load on the servers or networks supporting the Services
  • Unauthorized access, reverse engineering, decompilation or similar acts
  • Commercially exploiting information obtained through the Services without our written consent
  • Impersonating another User or registering false information
  • Providing benefit to, or otherwise being involved with, anti-social forces
  • Any other conduct we reasonably determine to be inappropriate

Where we determine that a User has breached the preceding paragraph, we may restrict that User's access to the Services or take other necessary measures without prior notice.

Intellectual Property

Intellectual Property Rights in the Services and the Content belong to us or to the third parties holding them. These Terms do not transfer or license any rights to Users beyond what is necessary to use the Services.

Users must not reproduce, republish, modify, distribute or publicly transmit the Content without our prior written consent.

User Content

Intellectual Property Rights in User Content remain with the User or the rightful holder. We do not acquire them.

Users do, however, grant us a royalty-free licence to use User Content to the extent necessary to provide, maintain and improve the Services.

Disclaimer of Warranties

We make no warranty of any kind, express or implied, regarding the Services — including as to fitness for a particular purpose, merchantability, accuracy, completeness, usefulness, or continued availability.

We do not warrant that the Services are free from defects in fact or law, including defects in safety, reliability, accuracy, completeness, effectiveness, fitness for purpose or security, or from errors, bugs or infringement of rights.

Limitation of Liability

We are not liable for damages arising from the use of, or inability to use, the Services, except where such damages result from our wilful misconduct or gross negligence.

Where the Consumer Contract Act or other law prevents a full exclusion of our liability, our liability is limited to ordinary, direct and actual damages, and shall not exceed the amount the User paid us in the transaction giving rise to the damage.

Changes to These Terms

We may amend these Terms without the individual consent of Users where we deem it necessary, in accordance with Article 548-4 of the Civil Code of Japan.

Where we amend these Terms, we will publish the amended content and its effective date on this website. The amended Terms apply from that effective date.

Severability

If any provision of these Terms, or part of one, is held invalid or unenforceable under any law or regulation, the remainder of that provision and all other provisions remain in full force and effect.

Governing Law

These Terms are governed by and construed in accordance with the laws of Japan. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Jurisdiction

If a dispute arises between us and a User concerning the Services or these Terms, the parties shall first seek to resolve it through good-faith discussion. Failing resolution, the Tokyo District Court shall have exclusive jurisdiction in the first instance.
